Memorandum of Association of “Biology Teachers Association of Goa”

NAME OF THE SOCIETY:  “BIOLOGY TEACHERS ASSOCIATION OF GOA”

ADDRESS OF THE SOCIETY: C/o St. Xaviers Higher Secondary School Xavier Nagar, Mapusa, Goa – 403507.

OBJECT OF THE SOCIETY:

The Biology Teachers Association of Goa or referred as only Association hereafter, shall be a non-Governmental, non-profit making, non- political organisation devoted to the following objectives:

  • To interact with Biology Teacher at Higher Secondary School (HSSC) level;
  • To discuss issues related to Biology Syllables at HSSC level:
  • To maintain uniformity in methodology and evaluation techniques at HSSC level;
  • To update knowledge of teachers through workshops / lecture series /study tours /conferences as may be necessary;
  • To publish bulletins and exchange scientific literature and newsletters published by the association from time to time:
  • To co-relate theoretical aspects of biology with practical life in terms of Biodiversity conservation, Environmental awareness and for human welfare;
  • To encourage and develop scientific awareness among students through Exhibitions, Quiz programmes, Debates, Seminar projects;
  • To encourage Goan students to excel at national level entrance / competitive exams by providing practice test or support related to biology subjects.
  • To felicitate outstanding performances in biology.
  • To felicitate acknowledge the achievements of biology teacher at state/ national level.
  • Interaction with teaching faculty of other Boards for better understanding of their concepts and ideas.

RULES AND REGULATIONS OF “BIOLOGY TEACHERS ASSOCIATION OF GOA”

The Biology Teachers Association of Goa or referred as only Association hereafter, shall be a non-Governmental, non-profit making, non- political organisation devoted to the following objectives:

  • To interact with Biology Teacher at Higher Secondary School (HSSC) level;
  • To discuss issues related to Biology Syllables at HSSC level;
  • To maintain uniformity in methodology and evaluation techniques at HSSC level;
  • To update knowledge of teachers through workshops / lecture / Series/ study tours /conferences as may be necessary;
  • To publish bulletins and exchange scientific literature and newsletters published by the association from time to time;
  • To encourage and develop scientific awareness among students through Exhibitions, Quiz programmes, Debates, Seminar projects;
  • To co-relate theoretical aspects of biology with practical life in terms of Biodiversity conservation, Environmental awareness and for human welfare;
  • To felicitate outstanding performances in biology.
  • Interaction with teaching faculty of other Boards for better understanding of their concepts and ideas.

MEMBERSHIP:

  1. A)Member:Any person teaching Biology at HSSC level can be a member of the Association subject to:
  • Submission of an Application in prescribed form,
  • The approval of the executive committee and
  • Payment of membership fees.
  1. B)The membership fees will be:
  • Life memberships ₹2000/- or as may be decided by the general body: (life membership should renew after completion of 15 years by paying ₹1000/-
  • Annual membership ₹200/, Annual membership will be valid for one financial year or balance part thereof.
  1. C)A person shall cease to be a member or can be removed on:
  • failure to renew annual membership,
  • submission of resignation in writing to the secretary of the association and upon its acceptance;
  • Non-attendance of 3 consecutive general body meeting (AGM);
  • Working against the constitution and/or objectives of the Association.
  1. D)Honorary Members:
  • The Chairperson of the Principal Forum of HSSC and Principal of the Head Quarter will be the permanent Honorary Members of the Association;
  • Persons with high achievement or eminence in the field of the biological sciences may be invited and inducted to be Honorary Member of the Association by the Executive Committee for a period of three years.
  • The number of such Honorary Members shall not exceed by 5 persons at any given time.
  • They will not pay any fees and not entitled for any voting rights.

FUNCTIONS OF THE GENERAL BODY:

  • The general body of the Association shall be composed of individual annual members, life members and honorary members.
  • All the members of the Association together shall constitute the General Body. It will be supreme policy making Body of the Association and its decisions will be based on consensus. When there is division and no consensus arrived at, the matter will be put to vote and decided by simple majority of valid votes polled.
  • The Annual General Body Meeting (AGM) will be held in the second quarter of each calendar year ie. April to June. It will be convened by the Secretary by giving 15 days’ notice to the Members. The notice of the AGM will be intimated through a press note/telephonic/e mail/verbally.
  • The quorum for the AGM shall be a quarter of the total number Members;
  • If there is no quorum AGM shall be adjourned for ½ an hour and meeting shall be conducted without any further quorum;
  • The agenda of the meeting is to be circulated at least 8 days in advance or displayed on the notice board.
  • An Extra-Ordinary General Body Meeting (EAM) may be convened with minimum of 7 days’ notice with a specific agenda.
  • An Extra ordinary Meeting may be convened by the executive committee;
  • Such a meeting may be requisitioned by not less than of the Members, if no AGM has been held in calendar year in the normal process;
  • The report of the Secretary and audited account will be approval by the General body after discussion.
  • The policy matters, amendments of bye laws, approval of the registration and/or expulsion of the members, recommended by the executive Committee are to be decided by the general body.

EXECUTIVE COMMITTEE:

  • The Executive Committee shall he elected for a period of three financial years at the relevant AGM.
    • It shall assume charge with effect from March/ April;
    • The outgoing Executive Committee will hand over the audited statement of accounts to the new Executive Committee by the end of June of the same year.
  • The Executive Committee will be consisting of the following:
    • President
    • Vice president
    • Secretary
    • Joint secretary
    • Treasurer
    • Joint Treasurer
    • Members (Five)

The post of President, Secretary and Treasurer are statutory as per the Societies Act of 1860.

  • Nominations for the post in the Executive Committee shall be endorsed by two Members not later than one week prior to the relevant AGM and elections.
  • Nominations will be scrutinised by a member appointed by the Executive Committee as the Returning Officer, who shall himself not be a candidate for election;
  • In case no nominations are received in advance for any post, names of the suitable persons may be proposed and seconded by one Member in each case at the AGM, when elections are held;
  • In case there is more than one nomination for a post in the Executive Committee then elections will be held by voiced vote or show of hands or secret ballot as may decide;
  • Elections will be by a simple majority of valid votes cast by eligible voters i.e. Members present. Each individual member will have one vote;
  • The normal activities of the Association shall be managed by the Executive Committee;
  • The election of the Executive Committee shall be by nominations and/or secret ballot, if required. This procedure will be approved, modified and/or amended from time to time by the General Body:
  • The election shall be announced at least one month in advance by sending circulars to all the members of good standing;
  • Honorary members shall not be office bearers;
  • The Executive Committee shall be authorised to co-opt additional members as and when necessary;
  • The vacancies in the committee shall be filled up by any member from the committee by the President;
  • Minimum 7 days’ notice may be given for any meeting of the Executive Committee;
  • The Executive Committee of the Association shall be responsible for all the activities of the Association. The Executive Committee shall constitute various sub-committees to look after the various activities of the Association as follows:
    • To organise seminars/workshops/lectures;
    • To publish an annual newsletter covering all the activities of the Association;
    • To invite local/national/international scientist for lectures;
    • To promote research activities;
    • To promote educational activities for students.
  • Executive/s in the Executive Committee cease to be so after acceptance of resignation such executive and by the Executive Committee or absence of such executive for more than four consecutive meetings.
  • Vacancies created in the Executive Committee due to long absence or resignation by executive/member may be filled with one of the other members by the Executive Committee.
  • There will be no quorum for an Executive Committee meeting convened by the Secretary or President with due notice of one week in advance.
  • The Executive Committee will be competent to interpret the rules and regulations of the Association.
  • In normal course the Executive Committee will promote the aims and objectives of the Association by planning suitable activities.
  • President, Secretary and Treasurer will not hold the same posts for more than two consecutive terms of three years each. They may, however, be elected to other posts in the Executive Committee.

FUNCTIONS, DUTIES AND POWERS OF EXECUTIVE COMMITTEE OFFICE BEARERS:

President:

  • The President shall chair the meetings of the General Body and the Executive Committee and be their guiding force. The President may authorize an expenditure of up to Rs, 5,000/ from the Association’s fund.  Such expenditure shall be ratified by the Executive Committee in its next meeting.
  • The President will operate all the Bank accounts and the deposits of the Association along with the Treasurer.
  • In case of a tie of votes during any election/division the President will have the deciding vote.

Vice- President:

  • The Vice President will assume all the duties, power and functions of the President in the absence of the President.

Secretary:

  • The Secretary shall convene all meetings of General Body and Executive committee. He/she shall attend to all correspondence of the association and keep a record of its activities.
  • The secretary may incur expenditure of up to Rs, 1000/- on establishment and stationery. Such expenditure shall be ratified by the Executive Committee in its next meeting.
  • Secretary will operate all the Bank accounts and deposits of the association jointly with the Treasurer.

Joint Secretary:

  • The Joint Secretary will assume all the duties, power and functions of the Secretary in the absence of the Secretary.

Treasurer:

  • Treasure shall maintain the Association’s financial record including account books and bank accounts. Treasure shall operate the Association’s Bank accounts and deposits jointly with either the President or the Secretary.
  • Treasure will get the annual accounts audited at the end of each financial year and present the same at the AGM.
  • Treasure will prepare a budget for the Association’s activities during each financial year.

Joint Treasure:

  • The Joint Treasure will assume all the duties, power and functions of the Treasure in the absence of the Treasure.

Members of the Executive committee:

  • They will participate in the deliberation of the executive committee and help to organise activities of the association.

YEAR:

  • Year of the Association will be the financial year ending on 31″ March.

FUNDS:

  • The funds of the association will be managed by the Executive Committee as per the guide lines laid down by the Constitution and the resolutions of the General Body.
  • Funds generated by the Association and not immediately required for any scheduled activity will be judiciously invested in Fixed Term Deposits in a Bank.
  • Normally the balance in the Saving Bank account/s should not exceed Rs. 25,000/-.
  • Bank accounts and the term deposits of the Association shall be managed and operated by the Treasurer along with either President or the Secretary.

AUDIT:

  • The accounts of the Association for each year will be audited by competent auditors approved by the Executive Committee. Accounts of exhibitions and other activities will be first audited by two members nominated by the executive committee with in three months of the event.

LEGAL PROCEEDINGS:

  • The Associations shall sue and be sued in the name of the Secretary. Legal fees will be borne by the Association after approval of the General Body.
  • The Executive Committee may authorise such expenditure if it is expedient and the General Body cannot be convened in time.

AMENDMENTS:

  • If necessary, the amendments of these rules can be made on being initiated by any member through the Executive Committee. The suggested amendments, if approved by the Executive Committee, shall be circulated among the members for voting. Two third of the members voting for the amendment would be required for carrying through the amendment, keeping in view provisions of Societies Registration Act, 1860.
  • Executive Committee, if necessary may form the sub-committees ( as mentioned under item 7) to carry out different activities.
  • Such sub-committees shall be under the direct control of executive committee for smooth functioning and all the rules and regulations of the Association mentioned under the bye laws shall be applicable to these committees.
  • If necessary, the Executive Committee may formulate additional rules for proper functioning of these sub committees from time to time.
  • Amendments to the Memorandum, Rules and Regulations may be made by the general body with two third majority of those present for the meeting. Members desiring to propose an amendment should give one month written notice to the Executive Committee and justify such amendments.

DISSOLUTION:

  • The Association may be dissolved in accordance with the procedure laid down in Society’s Act 1860.
  • Subject to the concern of the members of the General Body, any members not less than two-third of the members of the Association may determine that the Association may be dissolved forthwith or at a time than agreed upon and all necessary steps shall be taken for the disposal and settlement of the property of the Association, its claims and liabilities according to the rules or as the Executive Committee may find expedient.
  • In case of dissolution of the Association, if there remains after the satisfaction of all the debts and liabilities, any property and assets, whatsoever, the same shall not be distributed among the members of the Association but shall be transferred to such other society(s) or Association(s), which would continue to further it’s aims and objectives, as may be determined by the Executive Committee.
  • A member can hold more than one Office provided the offices are of different sub-committees.
  • A member of the Association is entitled to avail of all the facilities and attends all the activities of the Association.

INCOM AND PROPERTY OF THE ASSCOCIATION

  • The income and the property of the Association, however derived shall be applied solely towards the promotion of the objectives and the functions of the Association. No portion of the income and the property of the Association shall paid or transferred directly or indirectly to any person/s who at any time are or have been member/s of the Association or any one claiming through them, provided that no other herein contained shall prevent the payment in good faith if honoraria and allow the facilities of any nature whatsoever, to any member of his bearer or anyone else as the Executive Committee think fit in return for any services rendered to the Association.
  • The Association, through its executive committee, may raise the donations in cash or in kind (may be in the form of land or furniture or equipment’s, books etc), which shall be the property of the Association and proper care and records shall be kept by the association.
  • The Association shall not function beyond the scope of these Bye Laws, unless approved and duly amended or included in the existing bye laws of the Association.
  • The Association shall be duly registered with Registrar of Societies
  • All the provisions of the Societies Registration Act shall apply to this Association. Registrar of the Societies shall have right to examine the records of the Association and his suggestions would be complied with.

RESIGNATION OR DISMISAL:

  • Any vacancy in the executive Committee due to resignation or dismissal or removal of any member may be filled by another member of the Executive Committee with three-fourth majority of the Executive Committee.
  • Dismissal, removal or resignation of any office bearer of Executive Committee has to be approved by the Committee with three-fourth majority votes.
  • The office bearer of Executive Committee when relieved of their duties shall continue to be member of the Committee.
  • Executive Committee shall not have any power to expel any members from his/her membership. Only General Body would take that decision.
  • The outgoing Executive Committee shall hand over the charge to the incoming Executive Committee at the first meeting.
  • Quorum for the executive committee shall be 50%. In the absence of quorum, the meeting will take place after half an hour without any limit for quorum.
  • Any Executive Committee office bearer who fails to attend four consecutive meetings shall automatically seize to be member of the Executive Committee.
  • All the records of the Association shall be at the headquarters in charge of Secretary or President.
  • Members of the Executive Committee are entitled for free copies of publication, if any and free entry to any activity of the Association.
  • The travelling allowance (for official work only) for the Executive Committee members and the members of various sub-committees shall be paid by the Association against the voucher.
  • All individual joining the Association on/ or before 6thJuly 2008 shall be designated as Founder Member.
